1. Acceptance of Terms

By accessing or using the Merulan platform ("Service"), operated by Merulan Intelligence, Inc. ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Merulan is company-brain infrastructure. It connects a company's sources and records into a governed model of the organization, and makes that context available to people, agents, workflows, channels, dashboards, and hosted applications.

3. User Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations
• Attempt to gain unauthorized access to any part of the Service
• Transmit malware, viruses, or other harmful code
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to send unsolicited bulk communications (spam)

5. Intellectual Property

The Service and its original content, features, and functionality are owned by the Company and are protected by international copyright, trademark, and other intellectual property laws. Your data remains yours — we claim no ownership over content you upload or create.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described therein.

7. Subscription and Payment

Certain features require a paid subscription. Fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law. We reserve the right to modify pricing with 30 days' notice.

8. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

9. Termination

We may terminate or suspend your account at any time for violation of these Terms. Upon termination, your right to use the Service ceases immediately. You may export your data prior to termination upon request.

10. Service Commitments and Changes

Our service commitments and system requirements are documented across these Terms, our Privacy Policy, executed master service agreements and data processing addenda where applicable, and on our website (including the Trust Center). We reserve the right to modify these Terms at any time. Material changes — including changes to service commitments, system requirements, or the sub-processor list referenced in the Privacy Policy — will be communicated to affected customers via email or in-app notification at least 30 days before they take effect. Continued use after changes constitutes acceptance.
